Important: Submitting an item or receiving a preliminary estimate does not create a consignment relationship. Consignment begins only after Leo Gallery physically receives the item, completes its review, confirms authenticity, accepts the item in writing, and the parties agree to the item-specific consignment schedule.
1. Item Submission and Preliminary Review
The owner must provide complete and accurate information, clear photographs, relevant reference or serial information, condition details, and any box, papers, certificates, receipts, service records, or other supporting documents. Any estimate given before physical inspection is preliminary and may be changed or withdrawn.
2. Physical Inspection, Authenticity and Acceptance
After the item is delivered to Leo Gallery, our team will inspect its authenticity, condition, ownership information, marketability, and supporting documents. Leo Gallery may use qualified independent specialists where appropriate. No item will be listed or marketed until authenticity has been confirmed to Leo Gallery’s satisfaction and the item has been formally accepted. Leo Gallery may decline any item at its discretion.
3. Owner Representations
The owner confirms that they are the lawful owner, have full authority to consign and sell the item, and that the item is free from liens, security interests, claims, theft reports, insurance claims, or competing ownership rights. The owner must disclose all known alterations, repairs, replacement or aftermarket parts, damage, loss, theft, service history, and other material facts.
4. Identification and Compliance
Leo Gallery may request government-issued identification, proof of address, proof of ownership, purchase records, or other information reasonably required for fraud prevention, insurance, tax, anti-money-laundering, or legal compliance. Failure to provide requested information may result in rejection or termination of the consignment.
5. Delivery, Custody and Return of Rejected Items
Delivery instructions must be approved in advance. The owner is responsible for secure, fully insured delivery to Leo Gallery unless otherwise agreed in writing. If an item is rejected, the owner must arrange insured return shipping or collection and pay any agreed inspection, authentication, storage, or shipping costs.
6. Item-Specific Consignment Schedule
Before marketing begins, Leo Gallery and the owner will confirm in writing the listing price, minimum acceptable sale amount, commission or service fee, approved expenses, consignment term, exclusivity, price-adjustment authority, insurance responsibilities, and expected payout method. The item-specific schedule forms part of these terms.
7. Marketing and Sale
Once accepted, Leo Gallery may photograph, describe, advertise, display, and offer the item through its website, social channels, marketplaces, dealer network, and other suitable sales channels. Leo Gallery may decline a proposed buyer or transaction where payment, identity, fraud, compliance, or delivery risks are not satisfactory.
8. Pricing and Offers
Leo Gallery will not complete a sale below the agreed minimum net amount without the owner’s written approval. Market feedback may result in a recommendation to adjust the listing price. Unless expressly authorized in the item-specific schedule, a price reduction requires the owner’s approval.
9. Condition While Consigned
The item will be handled with reasonable care. Normal handling required for inspection, photography, presentation, authentication, or buyer review is authorized. Any pre-existing wear, hidden defect, mechanical issue, water-resistance issue, or undisclosed condition remains the owner’s responsibility.
10. Buyer Returns, Disputes and Chargebacks
A sale is not final for payout purposes until buyer payment has cleared and any applicable inspection, return, dispute, or chargeback period has ended. If a completed sale is reversed, refunded, disputed, or charged back, Leo Gallery may delay or recover the related payout and reasonable transaction costs.
11. Payout
After the sale becomes final, Leo Gallery will pay the owner the sale proceeds less the agreed commission, approved expenses, refunds, chargebacks, taxes, shipping, insurance, authentication, repair, or other amounts authorized in the item-specific schedule. Timing and method of payout will be confirmed in that schedule.
12. Withdrawal and Early Termination
The owner may not independently sell, pledge, transfer, or advertise an item during an exclusive consignment term. Withdrawal before the agreed term ends may be subject to reimbursement of approved photography, authentication, repair, shipping, insurance, advertising, marketplace, or other documented costs. Leo Gallery may terminate the consignment if information is inaccurate, ownership or authenticity is questioned, the item creates legal or reputational risk, or the owner breaches these terms.
13. Non-Authentic, Stolen or Misrepresented Items
If an item is suspected to be counterfeit, stolen, unlawfully obtained, materially altered, or misrepresented, Leo Gallery may stop the review or sale, retain records, notify appropriate parties or authorities where legally required, and recover reasonable costs from the owner. Nothing in these terms requires Leo Gallery to return an item where return would be unlawful.
14. Privacy and Records
Personal information and item records may be used for evaluation, authentication, marketing, transaction processing, fraud prevention, shipping, insurance, legal compliance, and dispute resolution in accordance with the Leo Gallery Privacy Policy.
15. Limitation and Governing Law
To the extent permitted by law, Leo Gallery is not responsible for indirect or consequential loss, market-price changes, delays caused by carriers, marketplaces, payment providers, customs, buyers, or events outside reasonable control. These terms and any accepted consignment are governed by the laws of Ontario and the applicable laws of Canada.
16. Acknowledgement
By submitting the consignment form, the owner confirms that they have read and understood these terms, that the submitted information is accurate, and that the item is lawfully owned. Final acceptance still requires physical inspection, authenticity confirmation, written approval by Leo Gallery, and agreement to the item-specific consignment schedule.
